Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Rush Business Suite website at rbs.wppip.com, our web and mobile applications, and related services (together, the “Service”), operated by Rush Business Suite (“we”, “us”, or “our”). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance of these Terms

By registering for, accessing, or using the Service you confirm that you are at least 18 years old (or the age of majority in your jurisdiction), that you have the authority to enter into this agreement on behalf of yourself or the business you represent, and that you accept these Terms and our Privacy Policy and Refund Policy, which are incorporated by reference.

2. The Service

Rush Business Suite is a cloud-based business management platform that provides tools for point of sale, inventory, sales and purchasing, accounting, human resources and payroll, customer management, an optional online store, reporting, and related business operations. Features available to you depend on the subscription plan you select and may change over time as we improve the Service.

3. Accounts and registration

• You must provide accurate, current and complete information when you register and keep it up to date.
• You are responsible for safeguarding your login credentials and for all activity that occurs under your account.
• You must notify us immediately at support@rbs.wppip.com of any unauthorized use of your account or any other breach of security.
• You are responsible for the actions of users you invite to your workspace and for ensuring they comply with these Terms.

4. Subscriptions, billing and payment

The Service is offered on a subscription basis. By subscribing you agree to the following:

• Fees. You agree to pay the fees for the plan you select, at the prices displayed at the time of purchase, plus any applicable taxes.
• Billing cycle. Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected) and automatically renew for successive periods unless cancelled before the renewal date.
• Payment methods. Payments are processed by third-party payment providers. You authorize us and our payment providers to charge your chosen payment method for all fees when due.
• Price changes. We may change our fees. We will give reasonable advance notice of any price change, which will take effect at your next renewal.
• Non-payment. If a payment fails, we may retry the charge and may suspend or downgrade your account after a grace period of 7 days.
• Cancellation. You may cancel at any time from your billing settings; cancellation stops future renewals and takes effect at the end of the current paid period.

Refunds and cancellations are governed by our Refund Policy.

5. Free trial

We may offer a free trial. At the end of the trial your subscription will begin and your payment method will be charged unless you cancel before the trial ends. We may modify or withdraw trial offers at any time.

6. Acceptable use

You agree not to, and not to permit others to:

• use the Service for any unlawful, fraudulent, or deceptive purpose, or in violation of any applicable law or regulation;
• sell prohibited, counterfeit, or illegal goods or services, or use the Service to facilitate money laundering or the financing of illegal activity;
• upload or transmit malware, or attempt to gain unauthorized access to the Service, other accounts, or our systems;
• interfere with or disrupt the integrity or performance of the Service;
• reverse engineer, copy, resell, or create derivative works of the Service except as permitted by law;
• use the Service to store or transmit content that infringes the rights of others or is defamatory, obscene, or harmful.

We may investigate and take appropriate action, including suspending or terminating accounts, for any violation.

7. Your data and content

You retain ownership of the data and content you submit to the Service (“Your Data”). You grant us a limited license to host, process, and transmit Your Data solely to provide and improve the Service. You are responsible for the accuracy and legality of Your Data and for having the necessary rights to submit it. Our handling of personal data is described in our Privacy Policy.

8. Intellectual property

The Service, including its software, design, text, graphics, and trademarks, is owned by Rush Business Suite and its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you to use the Service, no rights are transferred to you.

9. Third-party services

The Service may integrate with third-party products and payment providers. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services and do not endorse them.

10. Availability and support

We strive to keep the Service available and reliable but do not guarantee uninterrupted, error-free operation. We may perform maintenance, updates, and changes to the Service. Support is provided as described on our plans and via support@rbs.wppip.com.

11. Suspension and termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that risks harm to us or others. On termination, your right to use the Service ends. We will make Your Data available for export for a reasonable period after termination, after which it may be deleted in accordance with our retention practices.

12. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or be uninterrupted, secure, or error-free.

13. Limitation of liability

To the maximum extent permitted by law, Rush Business Suite and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold Rush Business Suite harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Data, or your breach of these Terms.

15. Governing law and disputes

These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-law principles. You agree to first attempt to resolve any dispute informally by contacting us. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the competent courts at our principal place of business, unless a mandatory law of your country of residence requires otherwise.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes we will provide notice, for example by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
